“You” or “User” means the individual or entity accessing or using the Site. If you use the Site on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.
2. Eligibility
Use of the Site and/or purchase of the Software is intended solely for persons who are 13 years of age or older. Any access to or use of the Site or with respect to the purchase of Software by anyone under 13 is expressly prohibited. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us promptly at support@amiaudio.io of any unauthorized use. We are not liable for any loss arising from your failure to protect your credentials.
4. Purchases, Pricing, and Payment
Prices for Software are stated on the Site and are subject to change at any time before your purchase is completed. You agree to pay all fees and applicable taxes associated with your purchase. Payments are processed through our third-party payment processor, Stripe, and are subject to that processor’s terms and privacy practices. You represent that you are authorized to use the payment method you provide. We reserve the right to refuse or cancel any order, including where we suspect fraud or an error in pricing or product information.
5. Refunds and Cancellations
All Software products offered for sale through the Site have a 14-day free trial, allowing you to try the Software before you decide to buy it. Once you have purchased a Software product, you agree to the following refund policy:
If the Software product was purchased within 30 days and was not activated on your account, we will offer a full refund. Once you activate your Software license on your account or more than 30 days have passed, you waive the right to a refund.
If you have not activated your Software license and fewer than 30 days have passed, please contact us at support@amiaudio.io with your order number and email address. We will then review and process your request. Refunds are credited to your credit card/PayPal account and may take up to 5 business days to appear.
6. Intellectual Property Rights
The Site, the Software, and all Content, including all associated intellectual property rights, are owned by Company or its licensors and are protected by copyright, trademark, and other laws. Except for a limited license to view the Content of the Site, no rights are granted to you. All trademarks and service marks appearing on the Site are the property of their respective owners.

violate any applicable law, regulation, or third-party right;

These Terms and any dispute arising out of or related to them or the Software are governed by and shall be enforced under the laws of the State of New York, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13.2 Informal Resolution
Before filing any claim, you agree to first contact us at support@amiaudio.io and attempt to resolve the dispute informally for at least 30 days.
13.3 Binding Arbitration and Class-Action Waiver
Except for disputes that qualify for small claims court and claims for injunctive relief relating to intellectual property, any dispute arising out of or relating to these Terms or the Software will be resolved by final and binding arbitration administered by the American Arbitration Association under its then-current rules, seated in Los Angeles County, California. Judgment on the award may be entered in any court of competent jurisdiction. YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Venue for Non-Arbitrable Claims
For any dispute not subject to arbitration, you and Company consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
14. Term and Termination
We may suspend or terminate your access to the Site at any time, with or without cause or notice. Upon termination, any license granted to you will end and you must cease all use of the Site. Sections that by their nature should survive termination (including Sections 6, and 10 through 17) will survive.
15. Export Controls and Compliance
Software offered for sale on the Site may be subject to U.S. export control and economic sanctions laws. Prior to purchasing a license to any Software, you represent that you are not located in, and will not use or export the Software to, any embargoed or restricted jurisdiction or party, and that you will comply with all applicable export and sanctions laws.

TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SITE OR SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. IN THE EVENT THERE IS A CONFLICT BETWEEN THE ABOVE DISCLAIMER OF WARRANTIES, AND ANY DISCLAIMER OF WARRANTIES CONTAINED IN AN END USER LICENSE AGREEMENT (“EULA”) FOR ANY SOFTWARE PURCHASED THROUGH THE SITE, THE DISCLAIMER OF WARRANTIES CONTAINED IN THE EULA SHALL GOVERN. 11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SOFTWARE, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMPANY FOR THE SOFTWARE, OR (B) USD $100. IN THE EVENT THERE IS A CONFLICT BETWEEN THE ABOVE LIMITATION OF LIABILITY, AND ANY LIMITATION OF LIABILITY CONTAINED IN A EULA FOR ANY SOFTWARE PURCHASED THROUGH THE SITE, THE LIMITATION OF LIABILITY CONTAINED IN THE EULA SHALL GOVERN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law; Dispute Resolution; Arbitration
13.1 Governing Law
These Terms and any dispute arising out of or related to them or the Software are governed by and shall be enforced under the laws of the State of New York, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13.2 Informal Resolution
Before filing any claim, you agree to first contact us at support@amiaudio.io and attempt to resolve the dispute informally for at least 30 days.
13.3 Binding Arbitration and Class-Action Waiver
Except for disputes that qualify for small claims court and claims for injunctive relief relating to intellectual property, any dispute arising out of or relating to these Terms or the Software will be resolved by final and binding arbitration administered by the American Arbitration Association under its then-current rules, seated in Los Angeles County, California. Judgment on the award may be entered in any court of competent jurisdiction. YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Venue for Non-Arbitrable Claims
For any dispute not subject to arbitration, you and Company consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
14. Term and Termination
We may suspend or terminate your access to the Site at any time, with or without cause or notice. Upon termination, any license granted to you will end and you must cease all use of the Site. Sections that by their nature should survive termination (including Sections 6, and 10 through 17) will survive.
15. Export Controls and Compliance
Software offered for sale on the Site may be subject to U.S. export control and economic sanctions laws. Prior to purchasing a license to any Software, you represent that you are not located in, and will not use or export the Software to, any embargoed or restricted jurisdiction or party, and that you will comply with all applicable export and sanctions laws.
16. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms on the Site and update the “Last Updated” date. Material changes may be communicated by additional notice, in our sole discretion. Your continued use of the Site or Software after the changes take effect constitutes your acceptance of the revised Terms.
17. General Provisions
These Terms, together with any applicable EULA and our Privacy Policy, constitute the entire agreement between you and Company regarding the Site and Software and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Nothing in these Terms creates any agency, partnership, or joint venture. Notices to you may be provided via the Site or the email associated with your account.
